a) without prejudice to the generality of its appointment pursuant to clause 4 above, the investment manager shall have the ultimate power to direct how investments will be made and it shall have the complete discretion to fully and comprehensively manage the portfolio. the investment manager will invest the investment assets in accordance with the mandate, objectives and guidelines set forth in appendix a.
b) for the avoidance of doubt, the investment guidelines shall not be regarded as having been breached by reason of changes in the price or value of investment assets which are due solely to market forces or movements in the market or other events beyond the investment manager’s reasonable control.
